Why an Inperium partnership

Financial Distress

When Inperium and RHD met, RHD was on the verge of bankruptcy. It was facing over $11 million in combined EBIDA losses from FY 2023 and 2024—including substantial losses at its Federally Qualified Health Center (FQHC)—causing RHD’s banking partner to pull its line of credit. With no access to capital, RHD’s finances were in a state of emergency.

Compliance Challenges

As the post-COVID regulatory environment began to shift, RHD failed to keep up with emerging changes. Then, the departure of RHD’s CEO put the organization into regulatory noncompliance.

Precarious Standing with Payers

Between RHD’s noncompliance and its inability to adapt to a simultaneously shifting payer environment, payer contracts were in jeopardy. Losing these contracts would mean the end of RHD. The organization was in need of rescue.

How Inperium helped

Transition Services Agreement

In May 2024, RHD entered a Transition Services Agreement (TSA) with Inperium. The arrangement allowed Inperium to provide essential financial support and initial operational oversight to prevent program disruption for RHD’s clients—while developing an affiliation agreement that would provide long-term stability for this complex services provider.

Re-Accessing Lines of Credit

Inperium worked with RHD’s existing banking partner to reinstate its line of credit until regulatory approvals finalized the affiliation. Through this deal, RHD could access $25m in credit and $10m in cash, enabling the organization to continue its mission until and beyond the closing of the Inperium affiliation.

Enhanced Program Efficiency

With the affiliation finalized, Inperium introduced shared administrative resources and restructured program delivery, including optimizing scheduling, reducing dependency on overtime, and streamlining purchasing methods. With simplified operations, RHD lowered its costs and restored its focus on high-quality care.

RHD had strong roots and mission alignment, but like many others, they experienced the compounding effects of overexpansion, delayed tech upgrades, and rising operational costs; challenges that were intensified by COVID-19. We stepped in to provide bridge financing and implement structural reforms that would create long-term sustainability.

Results

Through its affiliation with Inperium, RHD was able to save about $8 million on shared administrative resources, and program delivery restructuring yielded another $10 million in savings. December 2024 was RHD’s first profitable month—a breath of fresh air and cause for celebration after years of seemingly insurmountable losses that nearly caused the organization’s long history to come to an end. 

Since then, RHD achieved $4.5 million in EBIDA at the end of FY 2025, and the organization is on track to increase this number to $17.5 million for FY 2026.
