Why an Inperium acquisition

Facing Bankruptcy

Connections Community Support Programs, the precursor to Conexio, entered bankruptcy proceedings despite $150m in annual revenues. Connections began exploring acquisition options that could prevent halting care for residents, but buyers wanted to dismantle the organization and only acquire select programs.

State Intervention

The State of Delaware approached Inperium to acquire and maintain the full breadth of programs, aiming to ensure continued access to care at existing site locations. Inperium’s offer included all services but split Connections into two distinct operating companies: Conexio Care for developmental disability and mental health support and Coras Wellness and Behavioral Health for substance abuse disorder (SUD) treatment.

Emphasis on Continuity

Due to our commitment to maintain continuous operations for clients without interruptions to care, the bankruptcy court ruled in favor of Inperium. Conexio Care was born from this ruling, merging existing Connections programs into the new organization without service disruption.

How Inperium helped

Restructuring Financials

Inperium immediately identified inaccurate financial reporting and jumped in to execute third-party audits on accounts payable and client revenue records. With a true financial baseline established, we overhauled revenue cycle procedures that had previously resulted in systemic underbilling and billing incorrect rates.

Negotiating Regulatory Transition

Inperium’s regulatory expertise served as the backbone for this complex transition across six Delaware state agencies. We negotiated strategic agreements and secured a $3.5m advance from the State to address qualification, approvals, new payer contracts, licensing, Medicaid and Medicare enrollment, and credentialing and contracting with public and private insurance.

Streamlining Operations

Inperium installed new leadership and revamped credentialing and staffing models to prepare Conexio for the path forward. We worked to right-size the organization to reduce bloated operating costs, including eliminating excess salaries, closing unused administrative offices, and reducing the vehicle fleet.

Results

Entering bankruptcy court can be the end of the road for a nonprofit, but Inperium’s acquisition and restructuring of Connections into Conexio Care has forged a new path for the organization and the people it serves in Delaware. 

Conexio Care has achieved $12 million in annual savings through improved leadership and efficient operations, including accurate staffing and a 55% smaller vehicle fleet. This administrative cost reduction has enabled Conexio Care to avoid future financial troubles and focus more of its revenue on programs for its community. 

Since joining the Inperium constellation and rebranding as Conexio we have gained access to expanded resources, both financial and operational, including collaboration with experienced leaders and subject matter experts across the constellation. Equally impactful has been Inperium’s transparency featuring clear expectations, defined goals, and a strong, mission-focused direction. 

Partnering with Inperium was not merely a lifeline; it was a bridge that enabled us to center our efforts on what truly matters—the people we serve and the communities in which they live.
